Quadrant Parking Agreement - Lot 09 DEDICATION OF LICENSE FOR PUBLIC PARKING WHEREAS, Crow - Hosford- Jefferson #142 Limited Partnership ( "Grantor" herein , is the owner o that certain real property legally described as: Lot 9, QUADRANT BUSINESS PARK - BOTHELL, according to the plat thereof recorded in Volume 131 of Plats, pages 87 through 91, inclusive, records of King County, Washington. Situate in the City of Bothell, County of King, State of Washington. WHEREAS, the city of Bothell ( "City ") passed Ordinance No. 1091, granting approval of the final development plan for the Quadrant Business Park -- Bothell Planned Unit Development ( "PUD "), subject to CV certain conditions set forth in Exhibit B to Ordinance 1091; WHEREAS, Condition 1.E of Exhibit B to Ordinance 1091 requires that � parking areas on lots in Quadrant Business Park -- Bothell (including Lot O 9) abutting an athletic field be made available for use by the public r11- during non - business hours and weekends; and co WHEREAS, Grantor desires to dedicate a license to the City for public parking on Lot 9 for the abutting athletic field during non - business hours and weekends in accordance with the conditions and restrictions contained in this Dedication. NOW, THEREFORE, in consideration of the mutual promises contained herein, it is hereby agreed as follows: 1. Grantor hereby dedicates and grants a license to the City, for use as public parking during non- business hours and weekends for the abutting athletic field, and for no other purpose, those areas designated for vehicle parking on Lot 9, as described as the forty -three (43) parking stalls located on the eastern end of Lot 9 and as depicted by Exhibit A , attached hereto and incorporated herein by this reference (the "Parking Area "), in accordance with the conditions and restrictions set forth herein. Non - business hours shall mean the time period from 5:30 p.m. to 11:00 p.m. on Monday through Friday and from 7:00 a.m. to 11:00 p.m. on weekends, and on the holidays of Thanksgiving, Christmas, New Years, Memorial Day, July 4, and Labor Day. Grantor reserves the right to close and prohibit the Parking Area from use during any and all periods the abutting athletic field and facilities therein are closed to the public. 2. This license is given, as required, for the purpose of satisfying Condition No. 1.E of Exhibit B to Ordinance 1091, to provide public parking for the athletic field abutting Lot 9 during non - business hours and on weekends, and for no other purpose. 3. Grantor, its successors and assigns, shall erect a sign as approved by the City to encourage the use of the Parking Area by the public, and such sign shall be maintained and repaired by Grantor, its successors and assigns. Exhibit B attached hereto and incorporated herein will be a reasonable facsimile to the size, wording and material for such sign. 4. Grantor reserves the right to adopt reasonable rules and regulations for public use of the Parking Area granted by this license which rules and regulations will be subject to the reasonable and prompt review and comment of the City Director of Parks. Grantor reserves the right to police the Parking Area in a reasonable manner according to the rules and regulations set forth by Grantor. 5. Grantor, its successors and assigns, reserves the right to use the Parking Area in common with the public and at any time and in any manner not inconsistant with the granting of this license. 6. The license granted hereunder shall terminate and the City shall confirm such termination in writing (of a recordable form) upon the occurrence of any one of the following events: (a) the abandonment, vacation, sale, assignment or other transfer of the abutting athletic field by the public or a change in the use of said athletic field; (b) the termination of, or the occurance of any facts or circumstance which alter or eliminate the PUD; or the amendment of the PUD to eliminate condition 1.E of Exhibit B to Ordinance 1091; (c) the City and Grantor mutually agree to terminate this license. • A N O Cn O f— co 7. This license shall be exclusive to the City, except as set forth in paragraph 5, shall be a covenant running with the land, and shall inure to the benefit of and be binding upon the successors and assigns of the parties hereto.
