Bothell, WA 98011 � BY, ° i`4 E7' °, ';: C,N OF � f , DEDICATION OF LIC r ' �bV 1AMLIC F E B 1 G 1909 'P OFFiCE Fio 55 WHEREAS, Quadrant Parkside Center Associates ( "Grantor" herein), is the owner of that certain real property legally described as Lots 24 and 25, Quadrant Business Park- Bothell, pages 87 through 91, inclusive, King County Recording No. 8508061034 ( "Lot 10 WHEREAS, the City of Bothell ( "City ") passed Ordinance No. 1091, granting approval of the final development plan for the Quadrant Business Park - Bothell Planned Unit Development ( "PUD subject to certain conditions set forth in Exhibit B to Ordinance 1091; WHEREAS, Condition 1.E of Exhibit B to Ordinance 1091 requires that parking areas on lots in Quadrant Business Park - Bothell (including Lots 24 and 25) abutting athletic fields be made available for use by the public during non - business hours and weekends; and WHEREAS, Grantor desires to dedicate a license to the City for public parking on Lots 24 and 25 for the abutting athletic fields during non- business hours and weekends in accordance with the conditions and restrictions contained in this Dedication. NOW, THEREFORE, in consideration of the mutual promises contained herein, it is hereby agreed as follows: A G R E E M E N T S 1. Grantor hereby dedicates and grants an irrevocable license to the City, for use in public parking during non - business hours and weekends for the abutting athletic field, and for no other purpose, those areas designated for vehicle parking on Lots 24 and 25, as described and depicted on Exhibit A , attached hereto and incorporated herein by this reference (the "Parking Areas "), in accordance with the conditions and restrictions set forth herein. Non- business hours shall mean the time period from 5:30 p.m. to 11:00 p.m. on Monday through Friday and from 7:00 a.m. to 11:00 p.m. on weekends, and on the holidays of Thanksgiving, Christmas, New Years, Memorial Day, July 4, and Labor Day. Grantor reserves the right to close and prohibit the Parking Areas from use during any and all periods the abutting athletic field and facilities therein are closed to the public. 2. This license is given, as required, for the purpose of satisfying Condition No. 1.E of Exhibit B to Ordinance 1091, to provide public parking for athletic fields abutting Lots 24 and 25 during non - business hours and on weekends, and for no other purpose. 3. Grantor, its successors and assigns, shall erect signs as approved by the City to encourage the use of the Parking areas by the public, and such signs shall be maintained and repaired by Grantor, its successors and assigns. Grantor reserves the right to adopt reasonable rules and regulations for public use of the Parking Areas granted by this license which rules and regulations will be subject to the reasonable and prompt review and comment by the City Director of 5. Grantor, its successors and assigns, reserves the right to use the Parking Areas at all times and in any manner not inconsistent with the granting of this license. 6. The license granted hereunder shall terminate and the City shall confirm such termination in writing (of a recordable form) only upon the occurrence of any one of the following events. (a) the abandonment of the use of the abutting athletic fields by the public; 0` c O c� CV O 0` 00 (b) the termination or elimination of the PUD; the amendment of the PUD to eliminate Condition 1.E of Exhibit B to Ordinance 1091; (c) the City and Grantor mutually agree to terminate this license. 7. This license shall be exclusive to the City, shall be a covenant running with the land, and shall inure to the benefit of and be binding upon the successors and assigns of the parties hereto.
